Uptech API Terms of Service
These terms apply when you access or use the apigo.ai website, workspace, APIs, chat products, paid capabilities, and related support services.
1. Acceptance of Terms
By accessing or using Uptech API websites, workspaces, APIs, chat products, model capabilities, or related support services, you agree to these terms and the related policies they reference. If you do not agree, do not continue using the service.
2. Eligibility, Accounts, and Security
- You must be legally able to enter into a binding agreement. If you use the service on behalf of a team or company, you represent that you have authority to accept these terms for that organization.
- You must provide accurate, complete, and current registration information and keep your credentials, access tokens, and API keys secure.
- You are responsible for activity under your account and should notify us promptly if you discover unauthorized use or a security incident.
3. Service Scope and Changes
Uptech API may provide website content, workspaces, chat products, model access, billing capabilities, documentation, experimental features, and other services related to AI workflows. Some features may be offered in beta, preview, or limited-release form.
We may update, modify, suspend, or discontinue parts of the service within a reasonable scope to improve the product, meet compliance requirements, or protect platform security.
4. Acceptable Use
- Do not use the service for unlawful, fraudulent, harassing, infringing, malware-related, spammy, rate-limit evasive, or platform-disruptive activity.
- Do not attempt unauthorized access, reverse engineering, scraping of restricted data, sharing protected credentials, or using the service to test or attack third-party systems.
- You must ensure that your content, prompts, files, and integrations comply with applicable law, contractual obligations, and third-party rules.
5. User Content and AI Output
You retain your rights in the content you submit, but you grant us a limited, non-exclusive license to host, transmit, cache, process, and display that content as needed to fulfill your requests and operate the service.
AI-generated content may be inaccurate, incomplete, or unsuitable as professional advice. You are responsible for evaluating outputs before relying on them and for actions you take based on them.
6. Fees, Billing, and Refunds
- Some services require payment. Applicable pricing, billing cycles, quotas, auto-renewal rules, and taxes are defined on the checkout page or in the order details.
- You must keep payment information valid and pay charges when due. Failed payments, chargebacks, or overdue balances may result in restricted, suspended, or terminated service.
- Unless required by law or expressly stated on the checkout page, in a promotion, or in a separate agreement, fees already paid are generally non-refundable.
- We may change pricing or plan structures. Where a change affects your future renewals or continued use, we will provide notice when reasonably practicable.
7. Intellectual Property
Except for content owned by users or third parties, the Uptech API service itself and its interfaces, documentation, branding, code, design, trademarks, and related materials belong to us or our licensors. You may not copy, sell, sublicense, or create derivative works from them unless these terms expressly allow it.
8. Third-Party Services
Uptech API may integrate with third-party model, payment, authentication, hosting, analytics, or other services. Those services may be governed by their own terms and policies, and we do not control or guarantee their products, availability, or conduct.
9. Suspension and Termination
We may restrict, suspend, or terminate access to some or all services if we reasonably believe you violated these terms, endangered platform security, failed to pay charges, engaged in abuse, or if this is necessary for legal compliance or risk control.
You may also stop using the service at any time, but subscription commitments or unpaid charges will still be handled according to the applicable billing terms.
10. Disclaimers and Limitation of Liability
- The service is provided on an “as is” and “as available” basis. To the maximum extent allowed by law, we disclaim warranties about uninterrupted operation, error-free performance, specific results, fitness for a particular purpose, or third-party capabilities.
- To the maximum extent allowed by law, we are not liable for indirect, incidental, special, punitive, or consequential damages, or for lost profits, revenue, data, or goodwill.
- If the law does not allow certain exclusions, the above limitations apply to the maximum extent permitted.
11. Updates to These Terms
We may update these terms from time to time to reflect changes in the product, pricing, law, or operations. Updated versions will post a new effective date, and for material changes we may give notice through a reasonable channel. Continued use after the effective date generally means you accept the updated terms.
